All users of this site, whether a consumer, client, affiliate, or third party, agree that access to and use of this site are subject to the following terms and conditions as they apply to your particular usage of the site, and to other applicable law. If you do not agree to these terms and conditions, please do not use this site.

Definitions

• Consumer: A Consumer is defined as someone who visits the Approved Reviews website, views our review widgets or other Approved Reviews content on one of our client's websites, or leaves a rating and review for one of our clients using a Approved Reviews review collection form, and is not an active paying Client of Approved Reviews.
• Client: A Client is any person or business who actively pays Approved Reviews to collect, manage, display and syndicate their customer ratings and reviews on their behalf.
• Affiliate: An Affiliate is any person or business who signs up for the Approved Reviews affiliate program, and then actively promotes Approved Reviews through their affiliate links in an effort to sign up new Clients to Approved Reviews and earn commissions.

Site Content

Approved Reviews does NOT currently accept websites with the following types of content:

• Adult or adult themed (pornography, adult ads, transparent or erotic lingerie - no product that covers less than standard bikini areas, adult images, adult products, etc.).
• Cheap pharmaceuticals (cheap drugs, male/female enhancement).
• High yield or high-risk investments, hate, spam, link farms, etc.
• Affiliate sites that don't sell anything directly.

Approved Reviews is the sole judge as to whether a website is approved or rejected, regardless of what type of business it is, and has the right to reject or cancel any website at any time.

Also, in certain cases where a specific market or industry contains an abnormally high amount of questionable companies or websites, Approved Reviews may, at its discretion, choose to work exclusively with a specific company or companies in these industries that they feel are trustworthy and reputable, provided that these companies strictly adhere to and maintain all Approved Reviews standards and practices.

Rating & Review Ownership

If you are a Approved Reviews client, in order to maintain the independent, objective 3rd party standards necessary for Approved Reviews to officially validate your customer ratings and reviews, in addition to allowing you to actively display the Approved Reviews brand via Approved Seals and Widgets, or any other public association in conjunction with the customer ratings and reviews we collect on behalf of your company, all ratings and reviews collected by Approved Reviews immediately become the sole property of Approved Reviews.

In order to protect the integrity of the Approved Reviews brand for everyone, we cannot allow you or any other third party to host or display any ratings collected and managed by Approved Reviews outside of the tools we provide without our direct consent.

Unauthorized use of any Approved Reviews ratings or reviews, could cause serious damage to our reputation, and may be cause for legal action.

If for some reason, you decide that you would like to discontinue using our services, you can assume full ownership of your ratings and reviews for a one-time processing and transfer fee of £500. Please contact customer support for instructions. As part of the transfer, you agree to permanently remove any instance, relation, or association of the Approved Reviews name and/or brand from your ratings and reviews. Your transfer file will be in a .csv format and can take up to 7 business days to process.

Client Security

Approved Reviews may from time to time provide code that clients may embed in their own website. As a security precaution and safe business practice, we highly recommend removing any Approved Reviews code on checkout pages, or pages where customer information like credit cards or social security numbers are added.

As a general practice, you should not have any 3rd party code on sensitive information pages. If you add the Approved Reviews code to your sensitive information pages, this will likely make you liable should any security issues arise.

Use of Content

We may use client and consumer content in a number of different ways, including publicly displaying it, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own websites and media platforms ("Additional Media"). As such, you hereby irrevocably grant us world-wide, perpetual, non-exclusive, royalty-free, assignable, sublicensable, transferable rights to use your content for any purpose.

Please note that you also irrevocably grant the users of the Site and any Additional Media the right to access Your content in connection with their use of the Site and any Additional Media. Finally, you irrevocably waive, and cause to be waived, against Approved Reviews and its users any claims and assertions of moral rights or attribution with respect to your content. By "use" we mean use, copy, publicly perform and display, reproduce, distribute, modify, translate, remove, analyze, commercialize, and prepare derivative works of your content.

Copyright

The entire content included in this site, including but not limited to text, graphics or code, is copyrighted as a collective work under the United Kingdom and other copyright laws, and is the property of Approved Reviews.

The collective work includes works that are licensed to Approved Reviews. Copyright , Approved Reviews ALL RIGHTS RESERVED. Permission is granted to electronically copy and print hard copy portions of this site for the sole purpose of placing an order with Approved Reviews or purchasing Approved Reviews products.

Any other use, including but not limited to the reproduction, distribution, display or transmission of the content of this site is strictly prohibited, unless authorized by Approved Reviews. You further agree not to change or delete any proprietary notices from materials downloaded from the site.

Trademarks

All trademarks, service marks and trade names of Approved Reviews used on the site are trademarks or registered trademarks of Approved Reviews and may only be used with permission.

Warranty Disclaimer

This site and the materials and products on this site are provided "as is" and without warranties of any kind, whether express or implied.

To the fullest extent permissible pursuant to applicable law, Approved Reviews disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement. Approved Reviews does not represent or warrant that the functions contained in the site will be uninterrupted or error-free, that the defects will be corrected, or that this site or the server that makes the site available are free of viruses or other harmful components.

Approved Reviews does not make any warranties or representations regarding the use of the materials in this site in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise. No oral or written information or advice provided to you by a representative of Approved Reviews shall create a representation or warranty. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you.

Limitation of Liability

Approved Reviews disclaims liability for any:

1. inderect, special, incidental, punitive, exemplary, reliance, or consequential damages,
2. loss of profits,
3. business interruption,
4. reputational harm, or
5. loss of information or data that result from the use of, or the inability to use, the services and products offered on this site, or the performance of the services and products.

Approved Reviews does not guarantee or warranty any information that they gather or use.

Typographical Errors

The content and materials on this site may contain inaccuracies and typographical errors. Approved Reviews does not warrant the accuracy of completeness of the materials or the reliability of any statement or other information displayed or distributed through the site. You acknowledge that any reliance on any such information shall be at your sole risk.

Seal Removal/Account Cancellation

Due to the nature of the services provided, Approved Reviews reserves the right to remove Seals or Widgets from any website and/or cancel any account for any reason at their discretion without prior notice or notification.

Termination

These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be updated or terminated by Approved Reviews without notice at any time, for any reason. If you are a client, you can terminate the terms by closing your account. The provisions relating to Copyrights, Trademark, Warranty Disclaimer, Participation Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

Partners and Affiliates

If you participate as a Approved Reviews Partner/Affiliate, you agree to be bound by this Terms of Service agreement. In addition, you agree to use any and all Approved Reviews partner/affiliate related banners and text links in an ethical manner.

You also agree that any affiliate text link information will be written to match the content and purpose of our site, and that you will not misrepresent the company or its products, services, or offerings in any way.

You understand that Approved Reviews decides what is ethical and can at any time terminate your affiliate account if they feel that you are misrepresenting the company or unethically marketing your affiliate links. If Approved Reviews terminates your account, you will not be paid for any outstanding commissions.

Bandwidth

If you are a client and use our Seal or Widget code to display reviews or review information on your website, we do not charge bandwidth overages as long as you are using these resources under normal use. However, unauthorized use may be grounds for additional overage fees.

Miscellaneous

Your use of this site shall be governed in all respects by the laws of the United Kingdom, without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods.

You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of Approved Reviews products) shall be in the United Kingdom.

Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of Approved Reviews products) must be commenced within one (1) year after the claim or cause of action arises.

Approved Reviews' failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. Approved Reviews may assign its rights and duties under this Agreement to any party at any time without notice to you.

Use of Site

Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including a Approved Reviews or other licensed employee, host, or representative, as well as other members or visitors on the site is prohibited.

You may not upload to, distribute, or otherwise publish through the site any content which is libelous, defamatory, discriminatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law.

You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or other organization.

Participation Disclaimer

Approved Reviews does not and cannot review all communications and materials posted to or created by users accessing the site or using our services, and is not in any manner responsible for the content of these communications and materials.

You acknowledge that by providing you with the ability to view and display user-generated content hosted on the site, Approved Reviews is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site.

However, Approved Reviews reserves the right to block or remove communications or materials that it determines to be:

1. abusive, defamatory, or obscene,
2. fraudulent, deceptive, or misleading,
3. in violation of a copyright, trademark or; other intellectual property right of another or
4. offensive or otherwise unacceptable to Approved Reviews in its sole discretion.

Indemnification

You agree to indemnify, defend, and hold harmless Approved Reviews, its officers, directors, employees, agents, parents, licensors, suppliers, affiliates, their successors, transferees, assignees, licensees (collectively the "Service Providers") from and against all claims, causes of actions, liabilities, losses, expenses, damages and costs, including reasonable solicitors fees, resulting from or relating to any violation of these terms and conditions or any activity related to your seals or account (including negligent or wrongful conduct) by you or any other person accessing the site using your account.

Third-Party Links

In an attempt to provide increased value to our visitors, Approved Reviews may link to sites operated by third parties.

Our linking to such third-party sites does not imply an endorsement or sponsorship of such sites, or the information, products, or services offered on or through the sites.

However, even if the third party is affiliated with Approved Reviews, Approved Reviews has no control over these linked sites, all of which have separate privacy and data collection practices, independent of Approved Reviews.

In addition, we do not operate or control in any respect any information products, or services that third parties may provide on or through the site or on websites linked to by us on the site.

Accordingly, we expressly disclaim any responsibility whatsoever for the content on these third-party sites. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, Approved Reviews seeks to protect the integrity of its web site and the links placed upon it and therefore requests any feedback on not only its own site, but for sites it links to as well (including if a specific link does not work).
